BY ENTERING THE SWEEPSTAKES, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING.

1. SPONSOR: The Sweepstakes is sponsored by NOM NOM, located at 2223 Whites Creek Pike, Nashville, TN  37207 United States. 

2.SWEEPSTAKES DESCRIPTION: The NOM NOM, LUCY & CO. Sweepstakes (the “Sweepstakes”) will take place from [8/26/25-9/9/25]. The intent of the Sweepstakes is to encourage participants (each, an “Entrant”) to:

By participating in the Sweepstakes, each Entrant unconditionally accepts and agrees to comply with and abide by these Official Rules and the decisions of [Business Unit] (the “Sponsor”) which shall be final and binding in all respects. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Winning a Prize is contingent upon fulfilling all requirements set forth herein.

3.ELIGIBILITY: The Sweepstakes is open to legal residents of the United States, who are at least 18 years old at the time of entry. Employees of NOM NOM, its affiliates, and their immediate family members are not eligible to enter.

4.WINNER NOTIFICATION: Winner’s will be notified via [INSTAGRAM DIRECT MESSAGE.

5.ENTRY PERIOD: The Sweepstakes begins on [8/26/25] at [9AM EST] and ends on [9/9/25] at [12AM EST] (the “Entry Period”). Entries submitted before or after the Entry Period will not be eligible.

7. PRIZES: One (5) winners will receive A FALL EDITION LUCY & CO. WALK-SET AND NOM NOM’S EXCLUSIVE PUPTAINER, CHOICE OF 3 TREATS, AND A SAMPLER PACK.

8.PRIZE CONDITIONS: Winner may not substitute, assign or transfer any Prize, but Sponsor reserves the right, at its sole discretion, to substitute any Prize with one of comparable value. All Prize details are at Sponsor’s sole discretion. THE PRIZES ARE AWARDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, BY SPONSOR). SOME JURISDICTIONS MAY NOT ALLOW LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR IMPLIED WARRANTIES SO THE LIMITATION AND EXCLUSION ABOVE MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY SUCH RESTRICTIONS OR LIMITATIONS.

9.PRIZE ACCEPTANCE REQUIREMENTS: As a condition of acceptance of a Prize, each Winner may be required to execute and submit an Affidavit of Eligibility and Liability/Publicity Release Form (where permitted) in a specified amount of time. If a Winner fails to: respond to Sponsor’s initial contact within five (5) calendar days; accept their Prize; or  return any documents required by Sponsor within the required time period, or if any Prize notification is returned undeliverable, or in the event that a Winner is disqualified for any reason, the corresponding Prize will be forfeited and awarded to an alternate Winner in a random drawing from among all remaining eligible entries received for the applicable Sweepstakes Drawing. If necessary, this process will be repeated up to three (3) times, after which the Prize will remain unawarded if it is unclaimed. 

Each Winner is responsible for all federal, state, and local taxes and fees associated with acceptance of a Prize. Each Prize is non-transferable, non-refundable, and no substitutions will be made except as provided herein, or in the Sponsor’s sole discretion. The Prizes are not redeemable for cash. Sponsor reserves the right to substitute a Prize of equal or greater value in the event the advertised Prize becomes unavailable.  Odds of winning a Prize depends on the number of eligible entries received during the Sweepstakes Period for each completed Sweepstakes Tracker.

10. WINNER SELECTION: The winner will be selected at random from all eligible entries received during the Entry Period. The drawing will take place on or about [9/9/26].

11.WINNER NOTIFICATION: The potential winner will be notified via INSTAGRAM DIRECT MESSAGE within [1] days of the drawing. If the winner does not respond within [2] days, an alternate winner may be selected. The Sponsor’s and Administrator’s decisions as to the selection of the Winners are final and binding. 

12.GENERAL: Although subsequent attempts to enter may be received, only the first complete entry received from a particular Entrant will be eligible; subsequent attempts by the same Entrant to enter, including entries submitted with an alternate email address, will be disqualified.

No confidential relationship is established by any Entrant and the Sponsor as a result of participating in the Sweepstakes. None of the information submitted by the Entrant will be treated as trade secrets, confidential information or as protected data.

Participating Entrants agree to these Official Rules and the decisions of the Sponsor and the Administrator, and release the Sponsor, the Administrator, and their affiliated companies, and all other businesses involved in this Sweepstakes, as well as the employees, officers, directors and agents of each (the “Released Parties”), from all claims and liability relating to their participation in the Sweepstakes, and the acceptance and use/misuse of the prizes offered. Participating Entrants assume all liability for and Released Parties shall be held harmless against any liability for any injury, losses or damages of any kind to persons, including personal injury or death, or injury to property caused or claimed to be caused in whole or in part,  directly or indirectly, by participation in this Sweepstakes, acceptance, possession, or use/misuse of the prizes, or any claims based on publicity rights, defamation or invasion of privacy, or merchandise delivery. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of the prize. 

In the event of a dispute over the identity of an Entrant, submission will be deemed submitted by the “Authorized Account Holder” of the email address submitted by the Entrant. Authorized Account Holder means the natural person to whom the email address is registered. Any Entrant or Winner may be required to show proof of being the authorized account holder to Sponsor’s satisfaction. Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. The Released Parties are not responsible for: (i) lost, late, misdirected, damaged or illegible entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of submission materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive submission information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to Entrant’s, or any other person’s computer related to or resulting from participating in the Sweepstakes. By participating in the Sweepstakes, you (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor and the Administrator, which are final and binding in all matters relating to the Sweepstakes. Failure to comply with these Official Rules may result in disqualification from the Sweepstakes. 

Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures or any factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor. If, for any reason, the Sweepstakes cannot be run as planned, Sponsor may disqualify any suspect entries or Entrants from the Sweepstakes and any Event it sponsors and (a) suspend the Sweepstakes and modify the Sweepstakes to address the impairment, then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules.

In the event any Entrant engages or has engaged in behavior that (as determined by Sponsor in Sponsor’s sole discretion) is obnoxious or threatening, illegal or that tends to annoy, abuse, threaten, disparage or harass any other person, company or organization, including the Sponsor, or is otherwise inappropriate, the Sponsor reserves the right to disqualify the Entrant, or winner and void any Entries of said person.

13.PRIVACY: By submitting an entry, each Entrant acknowledges that his/her entry may be used and posted across any and all of Sponsor’s and/or Mars’ digital and social media assets at any time. As a condition of entering and/or voting in the Sweepstakes, each Entrant gives consent for Sponsor to obtain and deliver his or her name, address and other information to third parties, including Administrator, for the purpose of administering this Sweepstakes and to comply with applicable laws, regulations and rules, including, without limitation, the storing of your personal information for purposes of complying with state record retention requirements. Any information Entrant provides to Sponsor may be used to communicate with Entrant in relation to this Sweepstakes or on a Sweepstakes winner’s list. Personal information collected from Entrants are subject to the Sponsor’s Privacy Policy, which can be found at https://www.mars.com/privacy. 

Entrant waives any moral rights they may have to their entry and agrees that if Sponsor or Mars elects to use the entry for any purpose, all proceeds of such use shall be the sole property of the applicable party. If any use by Sponsor or Mars of an entry causes Sponsor or Mars to be liable to any third party, Entrant agrees to indemnify Sponsor, Mars and their respective agents, employees, affiliates, subsidiaries, representative and all related parties, including but not limited to the Administrator, from and against any and all damages, costs, judgments and expenses (including reasonable attorney fees) which Sponsor or Mars may incur as a result of Sponsor’s or Mars’ use of the entry.

14.LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DAMAGE, DESTROY, TAMPER OR VANDALIZE THIS WEB SITE OR INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

15.RELEASE, LIABILITY AND FORCE MAJEURE CLAUSE: By participating in the Sweepstakes, Entrants agree, to the fullest extent of the law, to release and hold harmless Sponsor, Administrator, NOM NOM (“Sponsor”), subsidiaries, affiliates, and the directors, officers, employees, agents, representatives, and website providers of each of the foregoing, (collectively, the “Released Parties”) from and against any and all liability for any injuries, loss or damage of any kind arising from or in connection with the Sweepstakes or the acceptance or use of any prize. BY PARTICIPATING IN THIS SWEEPSTAKES, ENTRANTS AGREE THAT THE RELEASED PARTIES WILL HAVE NO LIABILITY WHATSOEVER FOR (INCLUDING, TO THE EXTENT  PERMITTED BY APPLICABLE LAW, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES), AND SHALL BE HELD HARMLESS BY ENTRANTS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE, OR USE OF A PRIZE (IF APPLICABLE), SUBMISSION OF AN ENTRY, OR PARTICIPATION IN THIS SWEEPSTAKES, GENERALLY, OR IN ANY SWEEPSTAKES-RELATED ACTIVITY, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION OR INVASION OF PRIVACY, OR MERCHANDISE DELIVERY. THE RELEASED PARTIES ARE NOT RESPONSIBLE IF A PRIZE CANNOT BE AWARDED (OR CANNOT BE AWARDED ON A CERTAIN DATE) DUE TO CANCELLATIONS, DELAYS, OR INTERRUPTIONS RESULTING FROM ACTS OF GOD, ACTS OF WAR, NATURAL DISASTERS, WEATHER, TERRORISM, PANDEMIC, EPIDEMIC, OR ANY OTHER SUCH CAUSE. 

WITHOUT LIMITING THE FOREGOING, SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE LIMITATIONS OR EXCLUSIONS ABOVE MAY NOT APPLY TO YOU. CHECK YOUR LOCAL LAWS FOR ANY SUCH RESTRICTIONS OR LIMITATIONS.

16.GOVERNING LAW & DISPUTES: Entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes or any prize (if applicable) shall be resolved individually, without resort to any form of class action, and shall be entitled to seek injunctive or equitable relief in the state and federal courts of competent jurisdiction in Davidson County, TN and any other court with jurisdiction over the parties; (b) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (c) to the extent allowed by applicable law, under no circumstances will entrant be permitted to obtain awards for and Entrant hereby waives all rights to claim, damages other than actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. 

All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules, or the rights and obligations of the Entrant, Sponsor and Administrator in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of Davidson County, TN and any other court with jurisdiction over the parties, without giving effect to any choice of law or conflict of law rules (whether of Davidson Country, TN. and any other court with jurisdiction over the parties), which would cause the application of the laws of any jurisdiction other than the Davidson Country, TN. 

The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed as if the invalid or illegal provision were not contained herein. 

In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials or notifications and these Official Rules, these Official Rules shall prevail, govern, and control.
